1. Agreement to Terms
By accessing or using Tolppa Media's services, website (tolppamedia.com), or communications channels, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, please don't use our services (and maybe reconsider your life choices, but that's between you and your therapist).
Tolppa Media reserves the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms.
2. Services Provided
Tolppa Media is a full-service digital marketing agency offering:

Specific service deliverables, timelines, and pricing are defined in individual service agreements or proposals.
3. Client Responsibilities
You agree to:

Provide accurate, complete information necessary for service delivery

Respond to requests for feedback, approvals, or materials within agreed timeframes
-
Grant necessary access to accounts, platforms, and assets required for service delivery

Pay invoices according to agreed payment terms
-
Respect our team's time and expertise
-
Not ask for "just one quick thing" that's actually seventeen complicated things
Communication delays on your end do not constitute emergencies on our end. Seriously. Plan accordingly.
4. SMS/Text Messaging Terms (A2P 10DLC Compliance)
Message Frequency & Consent
By providing your mobile phone number and opting in to receive text messages from Tolppa Media, you expressly consent to receive:

Appointment reminders and scheduling confirmations

Project updates and delivery notifications

Educational content related to marketing services

Customer service communications
Message Frequency: May vary. You may receive up to 4-6 messages per month, though frequency may increase during active projects or promotional campaigns.
Consent is not a condition of purchase. You can still work with Tolppa Media even if you opt out of text messages.

Technical Requirements
You are responsible for ensuring your device can receive SMS messages. Tolppa Media is not responsible for messages not received due to:

Device incompatibility

Carrier service issues

Handset settings

Spam filters

Network unavailability
Privacy & Data Use
Your phone number and text message interactions are subject to our Privacy Policy. We do not sell your information to third parties. We use your number solely for:

Direct communication about our services

Marketing messages you've consented to receive

Transactional communications related to active projects
5. Email Communications
By providing your email address, you consent to receive:

Service-related communications

Project updates and deliverables

Invoices and billing information
You may unsubscribe from marketing emails at any time using the unsubscribe link in any email. Service-related communications cannot be opted out of while you remain a client.
6. Payment Terms
Standard Terms:

Payment terms are Net 15 unless otherwise specified in your service agreement

Late payments may incur a fee of 1.5% per month (18% annually)

Continued non-payment may result in service suspension and collection activities
-
You are responsible for all collection costs, including reasonable attorney fees
Refund Policy:

Deposits are non-refundable once work has commenced

Refunds for completed work are not provided
-
Project cancellations require 7 days written notice
-
Refund eligibility is determined on a case-by-case basis
7. Intellectual Property
Client Materials
You retain ownership of all materials you provide (logos, photos, copy, brand assets). You grant Tolppa Media a license to use these materials solely for delivering contracted services.
Deliverables
Upon full payment, you receive the agreed-upon usage rights to deliverables as specified in your service agreement. This typically includes:

Video Production: Rights to use final videos for agreed purposes

Website Design: Rights to the completed website and associated code
-
Social Media Content: Rights to content created for your accounts

CRM/monday.com Workspaces: Rights to configurations built for your business
Tolppa Media retains:

The right to display work in our portfolio

Templates, methodologies, and processes used in service delivery
-
Source files unless specifically included in your agreement
Third-Party Assets
Any stock photos, music, fonts, or other third-party assets are licensed according to their respective terms. You are responsible for maintaining any required licenses for continued use.
8. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the business relationship. This includes:

Business strategies and plans

Financial information

Customer data
-
Technical processes
-
Unpublished creative work
This obligation survives termination of the business relationship.
9. Service-Specific Terms
Video Production

One round of revisions included unless otherwise specified

Additional revisions billed at hourly rate

Shoot dates must be confirmed at least 48 hours in advance

Weather-related reschedules for outdoor shoots will be accommodated
-
Raw footage remains property of Tolppa Media unless specifically purchased
Social Media Management

Client must maintain access to all social media accounts

Tolppa Media is not responsible for platform policy changes or account restrictions
-
Crisis management falls outside standard scope unless specifically included
-
Client is responsible for legal compliance of approved content
Website Development

Hosting and maintenance are separate from design/development
-
You must maintain backups if hosting with a third party
-
Support period defined in service agreement
-
Additional features requested after approval are subject to additional fees
CRM/monday.com Development

Requires active monday.com subscription (client responsibility)
-
Training included as specified in agreement
-
Ongoing support available via separate agreement
-
API limitations may affect certain requested features
Marketing Education Classes
-
Thursday evening classes at East Greenwich office
-
Registration required, enrollment may be limited
-
Cancellations accepted up to 24 hours before class for refund
-
Recorded sessions may be available (not guaranteed)
10. Limitation of Liability
Tolppa Media's total liability for any claims arising from services provided shall not exceed the total amount paid by you for those specific services.
We are not liable for:

Third-party platform changes, restrictions, or outages (looking at you, Facebook)
-
Results or outcomes from marketing campaigns (we're good, but we're not miracle workers)
-
Data loss due to third-party hosting or platform issues
-
Business losses or lost profits resulting from service delays
-
Acts of God, pandemics, or zombie apocalypses
We make no guarantees regarding:

Specific ranking improvements or search engine results
-
Viral content or social media engagement levels
-
Lead volume or conversion rates
-
Campaign performance metrics
Marketing involves multiple variables outside our control. We promise strategic expertise and quality execution, not specific numerical outcomes.
11. Indemnification
You agree to indemnify and hold Tolppa Media harmless from any claims, damages, or expenses arising from:

Your use of deliverables in ways not authorized by licensing agreements

Content you provide that infringes on third-party rights
-
Your violation of applicable laws or regulations
-
Your failure to maintain required licenses or permissions
12. Termination
Either party may terminate the business relationship with written notice as specified in the service agreement.
Upon termination:

You remain responsible for payment for all work completed

You receive deliverables for paid work according to agreement terms
-
Access to platforms and systems will be transferred or revoked as appropriate
-
Confidentiality obligations continue
We reserve the right to terminate immediately if:

Payment terms are violated
-
You engage in abusive behavior toward our team
-
You request illegal or unethical activities
-
You violate these Terms of Service
13. Dispute Resolution
Let's be adults about this:
Any disputes will first be addressed through good-faith negotiation. If that fails:

Disputes shall be resolved through binding arbitration in Rhode Island
-
Each party bears their own costs unless otherwise awarded
-
Rhode Island law governs these terms
-
Any litigation must be filed in Rhode Island courts
14. Miscellaneous
Entire Agreement: These Terms, together with your service agreement, constitute the entire agreement between parties.
Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
No Waiver: Our failure to enforce any right doesn't waive that right for future enforcement.
Assignment: You may not assign your agreement without written consent. We may assign to a successor business entity.
Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control.
